| Purpose: NOTICE OF PUBLIC HEARING Pursuant to Section 147(f) of the Internal Revenue Code of 1986, as amended (the Code), notice is hereby given that on Thursday, May 8, 2025, at 12:00 noon, local time, a public hearing will be held in Conference Room 4QV at the law offices of Bowles Rice LLP, 600 Quarrier Street, Charleston, WV 25301, and by teleconference, Toll Free dial-in number 888-475-4499, Meeting ID 847 9058 3075, Password: 048460, with respect to the proposed plan of tax-exempt bond financing in the form of a master lease to be entered into by and among Banc of America Public Capital Corp. (BAPCC), the West Virginia Hospital Finance Authority (the Authority), and HealthNet Aeromedical Services, Inc., a West Virginia nonprofit corporation, 110 Wyoming Street, Suite 101, Charleston, West Virginia 25302 (HealthNet), and four lease schedules in an aggregate principal amount not to exceed $36,000,000 for (i) two (2) medically configured Airbus Model H135 helicopters and related equipment and accessories (the WVUH Helicopters) to be operated and used by HealthNet primarily for the benefit of West Virginia University Hospitals, Inc., One Medical Center Drive, Morgantown, West Virginia 26506 and (ii) two (2) medically configured Airbus Model H135 helicopters and related equipment and accessories (the CAMC Helicopters and, together with the WVUH Helicopters, the Helicopters) to be operated and used by HealthNet primarily for the benefit of Charleston Area Medical Center, Inc., 501 Morris Street, Charleston, West Virginia 25301. Each of the lease schedules, which may be entered into at one time or from time to time, will be (i) in a principal amount not to exceed $9,000,000, which amount will include without limitation soft costs such as freight, installation and taxes together with an allocable share of the related professional fees and financing costs, and (ii) structured as a qualified 501(c)(3) bond as defined in Section 145 of the Code. One of the WVUH Helicopters will be hangered at 660 Airport Road, Buckhannon, West Virginia 26201 and the other at 81 Airport Lane, Moundsville, West Virginia 26041. One of the CAMC Helicopters will be hangered at 917 Airport Road, Millwood, West Virginia 25262 and the other at 584 Airport Road, Lewisburg, West Virginia 24901. The above-described plan of financing is permitted by the Authoritys enabling legislation. The lease obligations of the Authority will be special obligations of the Authority and will not constitute a debt or a pledge of the faith and credit of the Authority or a pledge of the faith and credit or taxing power of the State of West Virginia or any political subdivision thereof.
