Purpose: NOTICE OF PUBLIC HEARING $120,000,000 West Virginia Economic Development Authority Solid Waste Disposal Facilities Revenue Bonds (Core Natural Resources Project) Series 2025 Notice is hereby given of a public hearing to be held on behalf of the West Virginia Economic Development Authority (the Authority), on Thursday, February 20, 2025, at 9:00 a.m., at 180 Association Drive, Charleston, WV 25311, with respect to the issuance from time to time as a plan of finance of one or more series of bonds (the Bonds) in an aggregate principal amount not to exceed $120,000,000 by the Authority. Proceeds of the Bonds will be loaned to Core Natural Resources, Inc., a Delaware corporation, or an affiliate thereof or related person thereto (the Borrower), to finance or refinance the costs of acquiring, constructing, rehabilitating, developing, improving and equipping capital improvements, equipment, land and infrastructure and pay related financing costs with respect to solid waste disposal facilities within the meaning of Section 142(a)(6) of the Internal Revenue Code of 1986, as amended (the Code), located generally at 21550 Barbour County Highway, Philippi, Barbour County, West Virginia (together, the Project). The refinancing costs shall include the use of a portion of the proceeds of the Bonds to currently refund the Authoritys Solid Waste Disposal Facilities Revenue Bonds (Arch Resources, Inc. Project) Series 2020 and Series 2021. The geographic location of the Project is at Corders Crossing located at the intersection of U.S. Route 119/250 and West Virginia Route 76, Barbour County, West Virginia. The initial owner or operator of the Project will be Wolf Run Mining Company LLC, a wholly owned subsidiary of the Borrower. The Bonds shall not constitute an indebtedness of the Authority but shall be limited obligations of the Authority, payable solely from loan repayment proceeds or other revenues to be derived pursuant to a loan agreement to be entered into between the Authority and the Borrower. Neither the Bonds nor the interest thereon shall constitute a debt or pledge of the faith and credit or taxing authority of the State of West Virginia or of any county, municipality or any other political subdivision thereof. The public hearing will be conducted by the Associate Director or other authorized representative of the Authority.
