Purpose: MEETING NOTICE WEST VIRGINIA HOSPITAL FINANCE AUTHORITY SPECIAL BOARD MEETING MARCH 9, 2023 Notice is hereby given that the West Virginia Hospital Finance Authority (the Authority) will conduct a special meeting on Thursday, March 9, 2023, at 12:00 noon in Conference Room 4Q at the law offices of Bowles Rice LLP, 600 Quarrier Street, Charleston, West Virginia. The purposes for which this meeting is being held and the agenda for the meeting will include the following items: 1. Call to Order. 2. Reading and Approval of Minutes of prior meeting(s) (if needed). 3. Consideration of and action on a proposed Resolution approving the issuance by the Authority of its Hospital Revenue Bonds (Vandalia Health Group) 2023 Series A (Taxable) (the 2023 A Bonds) in an aggregate principal amount not to exceed $100,000,000, the proceeds of which will be loaned to Charleston Area Medical Center, Inc., a West Virginia nonprofit corporation, as group agent (the Group Agent) on behalf of the Vandalia Health Group, consisting of the Group Agent, CAMC Foundation, Inc. (the Foundation), Monongalia Health System, Inc. (MHS), Monongalia County General Hospital Company (Mon General), Mon Elder Services (Mon Elder), Stonewall Jackson Memorial Hospital Company (Stonewall), CAMC Greenbrier Valley Medical Center, Inc. (CAMC GVMC), and CAMC Plateau Medical Center, Inc. (CAMC PMC, and collectively with the Group Agent, Foundation, MHS, Mon General, Mon Elder, Stonewall, and CAMC GVMC, the Group), and used by the Group, together with other available funds, to: (i) pay and/or reimburse the costs of the acquisition by CAMC PMC of substantially all of the assets of Oak Hill Hospital Corporation and Oak Hill Clinic Corp., each a West Virginia corporation, which directly or indirectly own and operate Plateau Medical Center (the Hospital) in Oak Hill, West Virginia, together with certain related businesses including medical office buildings, outpatient care facilities, physician practices and ancillary services and costs associated therewith; (ii) pay, finance, refinance or reimburse capital expenditures approved in any Vandalia Health capital budget for hospital and other health care improvements and facilities, as amended from time to time, including, without limitation, capital expenditures at the Hospital campus in Oak Hill, West Virginia; and (iii) pay costs of issuing the 2023 A Bonds. 4. Hamrick and filling of vacancy created by such retirement, including without limitation the hiring of a new employee or entering into another arrangement with a person to fill such vacancy. 6.
