| Purpose: Special Board of Directors meeting. The Board of Directors will consider and take action on matters including, but not limited to the following: 1. To consider a resolution authorizing not more than $50,000,000 of West Virginia Economic Development Authority Solid Waste Disposal Facility Revenue Bonds, (Sundial Mining LLC Project), Series 2022A, and West Virginia Economic Development Authority Taxable Industrial Facility Revenue Bonds (Sundial Mining LLC Project), Series 2022B 2. Resolution authorizing a $75,000,000 forgivable Performance Loan from the Economic Development Project Fund to support Project Kent in Berkeley County, West Virginia as a High Impact Development Project 3. To consider authorizing counsel for the Authority and the Executive Director to engage in settlement negotiations and to provide a settlement range for the resolution of the potential residual value of real property that secures the Obligation of the Authority to certain secured creditors. To promote and protect the safety of both the public and the Authoritys staff in light of the COVID-19 pandemic, public attendance will be virtual.
