| Purpose: The consideration of and action on a proposed Resolution approving the issuance by the Authority of its Taxable Hospital Revenue Bonds (Vandalia Health Group), 2022 Series A Bonds") In an aggregate principal amount not to exceed $100,000,000, the proceeds of which will be loaned to Charleston Area Medical Center, Inc., a West Virginia nonprofit corporation, as group agent (The Group Agent") on behalf of the Vandalia Health Group consisting of the Group Agent, CAMC Foundation, Inc., (The Foundation) Monongalia Health System, Inc.,("MHS"), Monongalia County General Hospital Company ("Mon General"),Mon Elder Services, Inc.,("Mon Elder"),Stonewall Jackson Memorial Hospital Company("Stonewall") and CAMC Greenbrier Valley Medical Center Inc., ("CAMC GVMC ," and collectively with Group Agent, Foundation, MHS, Mon General, Mon Elder, and Stonewall, the ("Group")and used by the group, together with other available funds, to: (1) to finance all or a portion of the acquisition by CAMC GVMC of substantially all of the assets (the "Acquisition") of VMC, LLC, a Delaware limited liability company Greenbrier Valley Emergency Physicians, LLC., Greenbrier Valley Anesthesia, LLC, A Delaware liability company and GRB Real Estate, LLC, a Delaware Limited Liability Company, Valley Anesthesia LLC., Ronceverte Physicians Group LLC. a Delaware limited liability company and costs associated therewith and (i) pay all costs of issuing the 2022 Bonds. Update and possible action on new office space for the Authority in the Greenbrook Building 1124 Smith Street Charleston, WV Discussion and possible action on retirement of Sarah Hamrick and filling the vacancy.
