| Purpose: Notice is hereby given that the West Virginia Hospital Finance Authority (the Authority) will conduct a special meeting on Tuesday, August 7, 2018, at 12:00 noon in the second-floor conference room in the West Virginia State Treasurers office located at 322 70th Street, SE, Charleston, West Virginia. The purposes for which this meeting is being held and the agenda for the meeting will include the following items: 1.Call to Order. 2.Reading and Approval of Minutes for the meeting held on June 12, 2018. 3.The Board of the Authority (the Board) will hold a public hearing in accordance with Section 147 of the Internal Revenue Code regarding a plan of finance for Cabell Huntington Hospital, Inc., which includes the issuance of not to exceed $350,000,000 in aggregate principal amount of one or more series of hospital refunding and improvement revenue bonds to (i) repay the interim financing for Cabell Huntington Hospitals acquisition of St. Marys Medical Center, Inc., and the refunding of St. Marys Medical Centers bonded indebtedness; (ii) finance additional costs of such acquisition; (iii) refund and redeem some or all of Cabell Huntington Hospitals outstanding bonded indebtedness; (iv) finance the costs (including capitalized interest) of capital improvements for both Cabell Huntington Hospital and St. Marys Medical Center; (v) fund a debt service reserve fund for such bonds; and (vi) pay costs of issuance of such bonds. 4.Following the public hearing, the Board will then consider and act upon a resolution (a) authorizing a plan of finance for Cabell Huntington Hospital, Inc., which includes the issuance of not to exceed $350,000,000 in aggregate principal amount of one or more series of hospital refunding and improvement revenue bonds to (i) repay the interim financing for Cabell Huntington Hospitals acquisition of St. Marys Medical Center, Inc., and the refunding of St. Marys Medical Centers bonded indebtedness; (ii) finance additional costs of such acquisition; (iii) refund and redeem or convert the interest rate mode relating to some or all of Cabell Huntington Hospitals outstanding bonded indebtedness; (iv) finance the costs (including capitalized interest) of capital improvements for both Cabell Huntington Hospital and St. Marys Medical Center; (v) fund a debt service reserve fund for such bonds; and (vi) pay costs of issuance of such bonds; (b) directing that a certificate regarding the public hearing and the bonds be forwarded to the Governor of the State; (c) authorizing the execution and delivery of one or more bond trust indentures, loan agreements, preliminary and final official statements, bond purchase agreements and other documents relating to such plan of finance; (d) delegating to the Chairman, Vice Chairman and Secretary-Treasurer of the Authority certain responsibilities in connection with such plan of finance; and (e) authorizing other actions necessary and desirable in connection with such plan of finance. 5.Discussion of and possible action on other matters relating to the bonds to be issued as described in item 4 above, including without limitation the initial fee to be charged by the Authority in connection therewith. 6.Discussion of and possible action on Legislative Rule entitled Establishment of Fee Schedule and Cost Allocations Applicable to the Issuance of Bonds by the West Virginia Hospital Finance Authority. 7.Discussion of and possible action on rent for the Authoritys office. 8.Discussion of and possible action on budgetary matters. 9.Update on possible refunding of bonds issued by the Authority in 2004 for the West Virginia Veterans Nursing Home. 10.Discussion of any other upcoming bond issues of the Authority. |
