| Purpose: Notice is hereby given that the West Virginia Hospital Finance Authority (the Authority) will conduct a special meeting on Thursday, June 23, 2016, at 12:00 noon in the second floor conference room in the West Virginia State Treasurers office located at 322 70th Street, SE, Charleston, West Virginia. The purposes for which this meeting is being held and the agenda for the meeting will include the following items: 1.Call to Order. 2.Reading and Approval of Minutes for meetings held on April 20, 2016. 3.The Board of the Authority (the Board) will conduct a TEFRA Hearing pursuant to Section 147(f) of the Internal Revenue Code of 1986, as amended, regarding: (a) approving the possible issuance of its Hospital Refunding Revenue Bonds, Series 2016 (St. Marys Medical Center, Inc.) in the maximum aggregate principal amount of $10,000,000 (the "Series 2016 Bonds"), pursuant to Chapter 16, Article 29A of the Code of West Virginia, 1931, as amended to currently refund certain bonds heretofore issued by the Board for the benefit of St. Marys Medical Center, Inc., a West Virginia nonprofit corporation, being the Authoritys Revenue Bond (Pallottine Health Services, Inc.) 2009 Series A (the "Prior Bonds") and (b) paying costs of issuance of the Series 2016 Bonds and related costs. 4.The Board will consider and act upon a Resolution approving certain amendments to the documents relating to the Authoritys Revenue Bond (Pallottine Health Services, Inc.) 2009 Series A including the extension of the maturity of such bond by one year to July 1, 2017. 5.Board Financial update 6.Update on any pending bond issues 7.Discussion of matters relating to one or more outstanding bond issues of the Authority. 8.Update and possible action on pending litigation The Board will also conduct regular business. |
