Purpose:

The purposes for which this meeting is being held and the agenda for the meeting will include the following items:

1.Call to Order.

2.Reading and Approval of Minutes for the meeting held on April 2, 2019.

3.Election of Officers.

4.The Board of the Authority (the Board) will conduct a TEFRA Hearing pursuant to Section 147(f) of the Internal Revenue Code of 1986, as amended, with respect the proposed tax-exempt financing in the form of a lease from Banc of America Public Capital Corp. (BAPCC) to the West Virginia Hospital Finance Authority (the Issuer) of one (1) medically configured Airbus EC 145 helicopter, together with two (2) TurboMecca model Arriel 1E2 engines, rotor blade and related equipment and accessories (the Helicopter), and professional fees related thereto, to be hangared at Raleigh County Memorial Airport, 176 Airport Road, Beaver, West Virginia 25813 and primarily used by Charleston Area Medical Center, Inc., 501 Morris Street, Charleston, West Virginia 25301, to be subleased to HealthNet Aeromedical Services, Inc., a West Virginia not-for-profit corporation (HealthNet). The aggregate principal amount of the aforesaid lease shall not exceed $10,000,000. The nominal owner of the Helicopter to be financed through the aforesaid lease shall be BAPCC. HealthNet will be the de facto owner of the Helicopter.

5.Following the public hearing, the Board will then consider and act upon a Resolution approving the tax-exempt lease financing for the purposes set forth in 4 above.

6.Update on recent legislation.

7.Discussion of and possible action on budgetary matters.

8.Discussion of and possible action on Thomas Memorial Hospital bankruptcy.

9.Discussion of any upcoming bond issues of the Authority.
