|Purpose: Notice: In accordance with Section 147 of the Internal Revenue Code of 1986, as amended (the Code), a public hearing will be held on behalf of the West Virginia University Board of Governors (the Board) at 9:00 a.m., Eastern Time, on Tuesday ,February 26, 2019, in Morgantown, WV at 1550 University Avenue, Mountainlair Student Union, Cathedral Room, Morgantown, West Virginia 26505, with respect to the proposed entry by the Board into a lease-purchase agreement in the principal amount of not to exceed $4,715,377 (the Agreement). The Agreement is expected to be comprised of a Master Lease Purchase Agreement with Siemens Public, Inc., as lessor, and a leasing schedule authorized under such Master Lease Purchase Agreement. The Agreement will finance Phase 3D of an energy savings program being implemented through a Master Performance Contracting Agreement dated September 14, 2006, as supplemented and amended, including by an Energy Savings Contract Phase 3D, between the Board and Siemens Industry, Inc., Building Technologies Division (the Performance Contract). |

The facilities described above are owned and used by West Virginia University (the University), acting through the Board. The facilities located at the Health Sciences Center, as listed above, are also used by WVU Medicine, which includes West Virginia University Hospitals, Inc. and University Health Associates, Inc., both of which are West Virginia nonprofit corporations and tax-exempt organizations under the Code. Those facilities and the facilities located on the Evansdale Campus of the University, as listed above, may also be used by the West Virginia University Research Corporation and the West Virginia University Innovation Corporation, both of which are West Virginia nonprofit corporations and tax-exempt organizations under the Code and are affiliated with the University.
All interested persons are invited to attend the public hearing and express their opinions regarding Phase 3D of the Performance Contract and the entry into the Agreement for the purposes of financing LED lighting upgrades and other energy savings improvements at the facilities described above.
